Terms & Conditions

1. ACCEPTANCE OF TERMS

These Terms & Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Pivot Traders LLC (“Pivot Traders,” “we,” “us,” or “our”).

These Terms govern your access to and use of Pivot Traders websites, memberships, online communities, educational programs, courses, live sessions, recordings, Indicators, scripts, software, tools, downloadable materials, communications, and other products, content, or services provided by or through Pivot Traders (collectively, the “Services”).

By creating an account, purchasing or subscribing to a Service, downloading or accessing paid materials, participating in a program or community, affirmatively accepting these Terms, or otherwise using the Services after being provided legally sufficient notice of these Terms, you agree to be bound by them.

If you do not agree to the applicable Terms, you must not purchase, subscribe to, or use the applicable Services.

2. INCORPORATION OF RELATED POLICIES

Your access to and use of the Services is also governed by Pivot Traders’:

  • Privacy Policy;

  • Risk Disclosure;

  • Legal Disclaimer; and

  • Refund Policy.

These documents are incorporated into these Terms by reference where applicable and collectively form the legal framework governing your relationship with Pivot Traders.

Certain Services, subscriptions, promotions, programs, Indicators, or purchases may also be subject to additional terms, licensing conditions, pricing terms, eligibility requirements, or disclosures presented at the time of purchase, enrollment, access, or use.

If specific terms applicable to a particular Service or transaction conflict with these general Terms, the more specific terms will control with respect to that Service or transaction, except where prohibited by applicable law.

3. EDUCATIONAL AND INFORMATIONAL PURPOSE ONLY

Pivot Traders provides educational, informational, and analytical content relating to financial markets.

Pivot Traders is not acting through the Services as:

  • a broker-dealer;

  • an investment adviser;

  • a commodity trading advisor;

  • a financial planner;

  • a portfolio manager;

  • a fiduciary;

  • an execution service; or

  • a tax, accounting, or legal professional.

Nothing provided through the Services constitutes individualized investment, financial, legal, tax, or accounting advice.

Nothing provided through the Services constitutes a personalized recommendation or instruction to buy, sell, enter, exit, or hold any financial instrument.

Educational discussions may include market analysis, trade examples, potential setups, entries, exits, risk-management concepts, Indicators, and other market observations. Such discussions remain educational and analytical in nature and are not personalized recommendations.

4. NO ADVISORY OR FIDUCIARY RELATIONSHIP

Your purchase, subscription, membership, participation, communication with Pivot Traders, or use of the Services does not create:

  • an investment adviser-client relationship;

  • a fiduciary relationship;

  • a broker-customer relationship;

  • a commodity trading advisory relationship;

  • a portfolio-management relationship; or

  • any other professional advisory relationship.

Pivot Traders does not know or evaluate your complete financial circumstances, investment objectives, financial needs, portfolio, trading experience, tax situation, or risk tolerance unless incidental information is voluntarily provided during ordinary educational interaction.

You remain solely responsible for determining whether any trading or investment activity is appropriate for you and for all trading and investment decisions you make.

5. ELIGIBILITY

You must be at least eighteen (18) years old and legally capable of entering into a binding agreement to purchase or use paid Pivot Traders Services.

By using the Services, you represent and warrant that you satisfy these requirements.

You are responsible for ensuring that your use of the Services is lawful in the jurisdiction in which you reside or access the Services.

6. USER ACCOUNTS AND ACCOUNT SECURITY

Certain Services may require creation of an account through Pivot Traders or a third-party platform.

Unless expressly authorized otherwise, each account and subscription is intended for use by the individual subscriber to whom it is issued.

You are responsible for:

  • maintaining the confidentiality of your username, password, and other access credentials;

  • restricting unauthorized access to your account;

  • maintaining accurate account information; and

  • activity occurring through your account to the extent attributable to your actions or failure to reasonably safeguard your credentials.

You may not share, sell, transfer, rent, sublicense, or otherwise provide another person with unauthorized access to your account or paid Services.

You must promptly notify Pivot Traders if you reasonably believe your account or credentials have been compromised.

Pivot Traders may suspend, restrict, or terminate access where reasonably necessary to address nonpayment, unauthorized access, credential sharing, security concerns, abuse, violations of these Terms, or other misuse of the Services.

7. PAID SERVICES, SUBSCRIPTIONS, BILLING, CANCELLATIONS, AND REFUNDS

Certain Services require payment, including memberships, subscriptions, educational programs, Indicators, scripts, software access, courses, digital products, and other paid Services.

By purchasing or subscribing to a paid Service, you agree to pay the prices, fees, and applicable taxes disclosed at the time of purchase.

7.1 Recurring Subscriptions

If you enroll in a recurring subscription, you authorize the applicable payment processor to charge your selected payment method for recurring subscription fees at the frequency and amount disclosed during checkout until the subscription is canceled or otherwise terminated.

You are responsible for canceling a recurring subscription before its applicable renewal if you do not wish to incur the next recurring charge.

Cancellation prevents future renewals in accordance with the applicable subscription terms but does not retroactively cancel charges already incurred.

7.2 Refund Policy

All purchases are subject to the Pivot Traders Refund Policy, which is incorporated into these Terms by reference.

Except where otherwise required by applicable law or expressly authorized by Pivot Traders pursuant to the Refund Policy:

ALL SALES ARE FINAL AND NON-REFUNDABLE.

No refund or credit will be provided because of:

(a) partial use of a subscription period;

(b) unused membership time;

(c) failure to attend a live educational session;

(d) failure to access or use purchased content;

(e) failure to install, activate, access, or use an Indicator or other digital Service;

(f) dissatisfaction with trading, investment, or financial results;

(g) failure to cancel before a recurring renewal; or

(h) suspension or termination resulting from a violation of these Terms.

For subscription-based Indicators and other licensed Services, cancellation will ordinarily permit continued access through the remainder of the paid subscription period unless access is terminated earlier because of a violation of these Terms, security issue, payment reversal, or other lawful basis.

7.3 Failed or Disputed Payments

Failed, declined, reversed, or unpaid transactions may result in restriction or suspension of access.

Pivot Traders reserves the right to provide payment processors, card networks, banks, or other appropriate parties with records reasonably necessary to respond to a payment dispute or chargeback.

7.4 Pricing Changes

Pivot Traders may change pricing prospectively.

Changes affecting recurring subscriptions will be implemented with any notice or consent required by applicable law.

8. INTELLECTUAL PROPERTY, INDICATORS, SCRIPTS, AND ANALYTICAL TOOLS

8.1 Ownership

All content, materials, products, and Services provided by Pivot Traders, including but not limited to educational materials, courses, videos, recordings, presentations, documents, graphics, trade examples, methodologies, frameworks, indicators, scripts, algorithms, formulas, calculations, configurations, templates, alerts, charting tools, market-analysis tools, software, source code, object code, designs, interfaces, names, logos, trademarks, and related materials (“Pivot Materials”), are owned by or licensed to Pivot Traders and are protected by applicable intellectual property laws.

Except for the limited license expressly granted below, no ownership or intellectual property rights are transferred to you through your purchase, subscription, membership, or use of the Services.

8.2 Limited License

Subject to your continued compliance with these Terms and payment of all applicable fees, Pivot Traders grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use Pivot Materials solely for your own personal educational and analytical purposes.

For subscription-based Services, this license exists only during the period in which your applicable subscription remains active and in good standing.

Expiration, cancellation, nonpayment, suspension, or termination of the applicable subscription may result in termination of access to subscription-based Pivot Materials, including Indicators.

8.3 Indicators and Analytical Tools

Pivot Traders may provide proprietary or third-party indicators, scripts, algorithms, alerts, forecasts, confirmations, market-state assessments, scoring systems, charting features, templates, and other market-analysis or software tools (collectively, “Indicators”).

Indicators are provided solely as educational and analytical tools intended to assist users in studying, organizing, interpreting, and visualizing market information.

Indicators do not constitute investment advice, personalized financial advice, brokerage services, individualized trade signals, or personalized recommendations or instructions to buy, sell, enter, exit, or hold any security, futures contract, option, currency, cryptocurrency, or other financial instrument.

No Indicator should be used as the sole basis for a trading or investment decision.

8.4 Indicator Outputs

Any arrow, dot, color, line, level, zone, forecast, confirmation, alert, score, label, market-state designation, setup identification, trend assessment, or other graphical, numerical, audible, or electronic output generated or displayed by an Indicator is an analytical output only.

Such output does not constitute an instruction or recommendation to enter, manage, or exit a trade.

You remain solely responsible for independently evaluating market conditions, determining whether to trade, selecting position size, establishing risk controls, placing orders, and managing any resulting position.

8.5 No Guarantee of Accuracy or Performance

Pivot Traders does not represent, warrant, or guarantee that any Indicator will be accurate, complete, timely, profitable, uninterrupted, error-free, or appropriate for any particular user, trading methodology, market, instrument, timeframe, account, or market condition.

No representation or guarantee is made that any Indicator will:

(a) identify every market opportunity;

(b) identify profitable trades;

(c) prevent or reduce losing trades;

(d) identify market tops, bottoms, reversals, continuations, or breakouts;

(e) produce any particular win rate, risk/reward ratio, return, income, or financial result; or

(f) perform in future markets in the same manner it may have appeared to perform historically.

Past performance is not indicative of future results.

8.6 Indicator Behavior and Technical Limitations

Indicators depend upon mathematical calculations, market information, historical and/or real-time data, software, user-selected settings, and third-party charting or data platforms.

Indicator outputs may differ or change because of factors including, without limitation:

  • market-data revisions;

  • differences among data feeds or exchanges;

  • symbol or contract selection;

  • futures contract rollover;

  • trading-session definitions;

  • time zones;

  • chart type or timeframe;

  • extended-hours settings;

  • user-selected inputs;

  • platform settings;

  • software or platform updates;

  • calculation methodology;

  • latency or connectivity;

  • insufficient historical data; or

  • other technical or market factors.

Certain Indicators may recalculate, update, repaint, disappear, appear differently, or otherwise change as additional market information becomes available.

Historical chart appearance therefore may not necessarily represent what a user would have observed in real time.

You are responsible for understanding the intended operation, settings, behavior, and limitations of an Indicator before relying upon its output.

8.7 Alerts and Notifications

Indicator alerts, notifications, forecasts, confirmations, and other automated outputs are provided for convenience and educational purposes only.

Alerts may be delayed, duplicated, omitted, interrupted, inaccurate, or fail to occur.

You should not rely upon an Indicator alert or notification as your sole means of monitoring a market, trade, account, or position.

Pivot Traders is not responsible for any loss resulting from an alert or notification being delayed, inaccurate, unavailable, duplicated, omitted, or not delivered.

8.8 Third-Party Platforms and Market Data

Indicators may depend upon or operate through third-party charting platforms, exchanges, brokers, market-data providers, internet services, software, or other technology.

Pivot Traders does not control and is not responsible for the availability, accuracy, operation, security, compatibility, pricing, policies, market data, or continued functionality of any third-party service.

Third parties may modify their software, programming languages, APIs, market data, subscription requirements, functionality, or policies in ways that affect an Indicator.

Pivot Traders does not guarantee continued compatibility with any third-party platform or service.

8.9 Updates, Modifications, and Discontinuation

Pivot Traders may modify, update, replace, rename, restrict, suspend, or discontinue an Indicator or any Indicator feature when reasonably necessary for development, maintenance, security, platform compatibility, regulatory considerations, business operations, or improvement of the Services.

Updates may change an Indicator’s calculations, settings, functionality, appearance, behavior, alerts, or outputs.

Unless expressly agreed otherwise in writing, purchase or subscription does not guarantee that any particular Indicator, feature, methodology, calculation, configuration, or software version will remain available indefinitely.

8.10 Hypothetical, Backtested, and Illustrated Indicator Results

Any backtest, historical illustration, chart example, market replay, hypothetical trade, simulated result, or demonstration involving an Indicator is provided for educational and illustrative purposes only.

Hypothetical and simulated results have inherent limitations. They do not represent actual trading unless expressly identified as actual trading and may not adequately account for liquidity, slippage, commissions, fees, execution delays, changing market conditions, financial risk, or the ability of a trader to follow a methodology during actual trading.

No representation is being made that any account will or is likely to achieve profits or losses similar to those displayed, discussed, demonstrated, or illustrated.

8.11 Prohibited Uses

Except as expressly authorized in writing by Pivot Traders, you may not:

(a) copy, reproduce, redistribute, publish, transmit, sell, sublicense, rent, lease, share, or commercially exploit Pivot Materials or Indicators;

(b) share account credentials or provide another person with unauthorized access to an Indicator or paid Pivot Materials;

(c) reverse engineer, decompile, disassemble, decode, extract, reproduce, discover, or attempt to discover any source code, algorithm, formula, calculation, methodology, configuration, or other proprietary component of an Indicator;

(d) modify an Indicator or create derivative software or products based upon an Indicator;

(e) remove or obscure copyright, trademark, branding, or proprietary notices;

(f) circumvent subscription restrictions, access controls, technical protections, or licensing mechanisms;

(g) redistribute Indicator code or otherwise provide unauthorized access to an Indicator;

(h) use Pivot Materials or Indicators to develop, reproduce, train, market, sell, license, or provide a competing commercial product or service; or

(i) represent any Pivot Material or Indicator as your own work or intellectual property.

Normal personal use of an Indicator, including displaying an Indicator on your own charts and sharing occasional screenshots of your own trading or educational activity, does not by itself violate this Section, provided such use does not disclose proprietary source code or confidential methodology, provide unauthorized access, facilitate reproduction of the Indicator, or constitute redistribution or commercial exploitation of Pivot intellectual property.

8.12 Unauthorized Use and Termination

Unauthorized access, credential sharing, redistribution, copying, reverse engineering, circumvention, or other infringement of Pivot Materials may result in immediate suspension or termination of access, subject to applicable law and the Refund Policy.

Pivot Traders reserves all intellectual property and other legal remedies available under applicable law.

8.13 Automated Trading and Third-Party Integrations

Unless Pivot Traders expressly states otherwise in writing, Indicators are not designed or provided to execute trades, exercise discretionary authority over brokerage accounts, or provide automated investment management.

Pivot Traders does not place trades on your behalf or control your brokerage account.

Any third-party automation, webhook, API, trade copier, execution software, algorithm, or other system that a user independently connects to information generated by an Indicator is used entirely at the user’s own risk.

Pivot Traders is not responsible for orders, trades, losses, duplicate executions, missed executions, unintended executions, or other consequences resulting from third-party automation or integration.

9. TRADE EXAMPLES, PERFORMANCE INFORMATION, AND P&L

Pivot Traders may display or discuss actual or hypothetical trade examples, account screenshots, profit and loss information, performance illustrations, chart examples, market replays, and other trading-related results for educational and illustrative purposes.

Unless expressly identified otherwise, such materials should not be interpreted as a complete trading record or as representative of the results that any particular user should expect.

Actual performance information may relate to a particular account, trader, period, instrument, methodology, or market condition and may not reflect the experience or results of other users.

Hypothetical, simulated, backtested, or illustrative results are not actual trading results unless expressly identified as such.

No trade example, P&L screenshot, performance illustration, testimonial, or other result constitutes a promise, guarantee, projection, or representation that any user will achieve the same or similar results.

Individual results vary substantially.

Past performance is not indicative of future results.

10. HYPOTHETICAL, SIMULATED, AND BACKTESTED PERFORMANCE

Pivot Traders may use hypothetical, simulated, backtested, replay-based, or otherwise illustrative performance information for educational purposes.

Such results have inherent limitations and may be developed with the benefit of hindsight.

Unlike actual trading results, simulated or hypothetical results may not reflect actual market execution, liquidity, slippage, commissions, fees, order delays, changing market conditions, or the psychological and financial pressures associated with trading real capital.

No representation is being made that any account will or is likely to achieve profits or losses similar to any hypothetical, simulated, backtested, or illustrated results.

Where a particular presentation is subject to a legally required performance disclosure, Pivot Traders may provide additional disclosures with or immediately adjacent to that presentation.

11. NO INDIVIDUALIZED TRADE SIGNALS OR RECOMMENDATIONS

Pivot Traders does not provide individualized trade signals or personalized recommendations to buy, sell, enter, exit, or hold financial instruments.

Pivot Traders may identify, discuss, demonstrate, or analyze:

  • market conditions;

  • potential setups or opportunities;

  • entries and exits;

  • trade-management concepts;

  • Indicators and Indicator outputs;

  • chart patterns;

  • market structure;

  • actual or hypothetical trades; and

  • other trading concepts

as part of its educational Services.

Such content represents educational analysis, methodology, observation, or opinion at the time presented and should not be interpreted as an individualized instruction or recommendation to place a trade.

You are solely responsible for independently evaluating all information and making your own trading and investment decisions.

12. AFFILIATE, REFERRAL, AND THIRD-PARTY RELATIONSHIPS

Pivot Traders may provide links, referrals, discount codes, introductions, or information relating to brokers, charting platforms, technology providers, educational services, prop firms, software providers, or other third parties.

Pivot Traders may receive financial or other compensation from certain referrals or relationships.

Where applicable, such compensation creates a potential financial interest in the referral.

You should independently evaluate any third-party product, service, platform, broker, or provider before purchasing or using it.

Unless expressly stated otherwise, Pivot Traders does not control, operate, endorse, guarantee, or assume responsibility for third-party products or services merely because they are mentioned, linked, discussed, or integrated with Pivot Traders Services.

13. PROHIBITED CONDUCT

You agree not to:

(a) share, redistribute, reproduce, or commercially exploit paid Pivot Materials except as expressly authorized;

(b) share account credentials or provide unauthorized access to paid Services;

(c) violate the intellectual-property restrictions contained in Section 8;

(d) scrape, crawl, harvest, systematically download, or use automated means to extract Pivot Materials or data except with express authorization;

(e) attempt to circumvent authentication, licensing, subscription, or technological access controls;

(f) probe, scan, interfere with, attack, exploit, or attempt to gain unauthorized access to systems, accounts, software, or infrastructure used to provide the Services;

(g) impersonate Pivot Traders, its personnel, another member, or another person;

(h) use the Services to engage in fraud, unlawful conduct, harassment, threats, abuse, or infringement of another person’s rights;

(i) introduce malicious software, code, or other harmful technology;

(j) use Pivot Materials or Services in violation of applicable law; or

(k) materially disrupt a Pivot Traders community, live event, course, or other Service.

Pivot Traders may take reasonable measures to protect the Services, Pivot Materials, other users, and its intellectual property from prohibited conduct.

14. TRADING RISK ACKNOWLEDGMENT

Trading and investing involve substantial financial risk and are not appropriate for every person.

By using the Services, you acknowledge that:

  • you may lose some or all of the capital committed to trading;

  • certain leveraged or margin products may expose you to losses exceeding the amount initially committed;

  • markets may move rapidly or unpredictably;

  • stop-loss orders and other risk-management techniques cannot guarantee a particular loss limit;

  • historical, hypothetical, or demonstrated results do not guarantee future performance;

  • no Indicator, strategy, methodology, educational program, or analytical tool eliminates trading risk; and

  • you remain solely responsible for the financial consequences of your trading and investment decisions.

The Pivot Traders Risk Disclosure contains additional information and is incorporated into these Terms.

15. DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND PIVOT MATERIALS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

PIVOT TRADERS MAKES NO WARRANTY OR REPRESENTATION THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, ACCURATE, COMPLETE, SECURE, TIMELY, COMPATIBLE WITH EVERY DEVICE OR PLATFORM, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

TO THE FULLEST EXTENT PERMITTED BY LAW, PIVOT TRADERS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

16. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PIVOT TRADERS AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SERVICES.

WITHOUT LIMITING THE FOREGOING, TO THE FULLEST EXTENT PERMITTED BY LAW, PIVOT TRADERS SHALL NOT BE LIABLE FOR:

  • trading or investment losses;

  • lost profits or lost trading opportunities;

  • decisions made in reliance upon educational content, market commentary, or Indicator outputs;

  • delayed, inaccurate, missing, or failed alerts;

  • data-feed or market-data errors;

  • third-party broker, platform, exchange, prop-firm, software, or service failures;

  • loss or corruption of data;

  • unauthorized third-party conduct outside Pivot Traders’ reasonable control; or

  • interruption or unavailability of the Services.

TO THE FULLEST EXTENT PERMITTED BY LAW, PIVOT TRADERS’ AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID DIRECTLY TO PIVOT TRADERS FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IF YOU HAVE NOT PAID PIVOT TRADERS FOR THE APPLICABLE SERVICE, PIVOT TRADERS’ AGGREGATE LIABILITY SHALL NOT EXCEED $100 USD.

These limitations apply only to the extent permitted by applicable law and do not limit liability that legally cannot be excluded or limited.

17. INDEMNIFICATION

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Pivot Traders LLC and its owners, officers, employees, contractors, agents, and affiliates from and against third-party claims, liabilities, damages, losses, judgments, costs, and reasonable expenses arising out of or relating to:

(a) your unlawful or unauthorized use of the Services;

(b) your violation of these Terms;

(c) your infringement or misappropriation of another person’s rights;

(d) content you submit, publish, or distribute through the Services; or

(e) your misuse or unauthorized redistribution of Pivot Materials.

This provision does not require you to indemnify Pivot Traders for conduct for which indemnification cannot lawfully be required.

18. CANCELLATION, SUSPENSION, AND TERMINATION

18.1 Cancellation by User

You may cancel a recurring subscription using the cancellation mechanism made available for the applicable Service.

Unless otherwise stated or required by law, cancellation prevents future renewals but does not immediately terminate access that has already been paid for.

Access will ordinarily continue through the end of the applicable paid subscription period.

18.2 Suspension or Termination by Pivot Traders

Pivot Traders may suspend, restrict, or terminate access where reasonably necessary because of:

  • nonpayment;

  • payment reversal or fraud;

  • account or credential sharing;

  • unauthorized redistribution of Pivot Materials;

  • intellectual-property infringement;

  • abuse or harassment;

  • security concerns;

  • unlawful activity;

  • material violation of these Terms; or

  • conduct that materially threatens Pivot Traders, its Services, its intellectual property, or other users.

Where appropriate, termination for serious or intentional violations may be immediate.

18.3 Effect of Termination

Upon expiration or termination of a subscription or license, your right to access subscription-based Services and Indicators may cease.

Termination does not transfer ownership of any Pivot Materials to you.

Sections that by their nature are intended to survive termination—including provisions concerning intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and accrued payment obligations—will survive.

Refunds following termination are governed by the Refund Policy and applicable law.

19. MODIFICATIONS TO SERVICES AND TERMS

Pivot Traders may modify these Terms from time to time.

The revised Terms will identify the date of the most recent update.

For non-material changes, continued use following legally sufficient notice may constitute acceptance to the extent permitted by applicable law.

Where a material change legally requires affirmative notice or consent, Pivot Traders may provide such notice or require renewed acceptance before continued use of affected Services.

Pivot Traders may also modify, improve, replace, suspend, or discontinue portions of the Services subject to these Terms and applicable law.

20. SEVERABILITY AND WAIVER

If any provision of these Terms is determined by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force to the maximum extent permitted by law.

Failure by Pivot Traders to enforce any provision of these Terms on one occasion does not constitute a waiver of that provision or the right to enforce it later.

21. ENTIRE AGREEMENT

These Terms, together with the:

  • Privacy Policy;

  • Refund Policy;

  • Risk Disclosure;

  • Legal Disclaimer; and

  • any additional terms expressly applicable to a particular Service or transaction,

constitute the agreement between you and Pivot Traders concerning the applicable Services and supersede prior or contemporaneous representations concerning the same subject matter, except for a separate written agreement expressly executed by Pivot Traders.

22. GOVERNING LAW

These Terms and disputes arising from or relating to them or the Services are governed by the laws of the State of New Mexico, without regard to conflict-of-law principles, except to the extent federal law or another applicable law controls.

Subject to the arbitration provisions below, judicial proceedings permitted under these Terms will be brought in a court of competent jurisdiction located in Bernalillo County, New Mexico, except where applicable law provides otherwise.

23. DISPUTE RESOLUTION AND BINDING ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO HAVE CERTAIN DISPUTES DECIDED BY A COURT OR JURY.

23.1 Informal Resolution

Before initiating arbitration, either party must provide the other with written notice describing the dispute and requested relief and allow at least thirty (30) days for a good-faith attempt to resolve the matter informally.

Notices to Pivot Traders must be sent to support@pivottraders.net and should include sufficient information to identify the claimant, the relevant account or transaction, the nature of the dispute, and the relief requested.

If the dispute is not resolved within thirty (30) days after receipt of the notice, either party may initiate arbitration as provided below.

23.2 Agreement to Arbitrate

Except for disputes expressly excluded below, you and Pivot Traders mutually agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, a purchase or subscription, or the relationship between you and Pivot Traders that cannot be resolved informally will be resolved by binding individual arbitration administered by JAMS.

The arbitration will be administered under the JAMS rules applicable to the dispute, including applicable consumer standards where required.

This agreement to arbitrate is mutually binding on both you and Pivot Traders.

23.3 Small Claims Court

Either party may bring an individual claim in a small claims court of competent jurisdiction if the claim qualifies to be heard there.

Nothing in this Section prevents either party from pursuing an eligible small-claims matter rather than arbitration.

23.4 Intellectual Property and Injunctive Relief

Notwithstanding the arbitration requirement, either party may seek temporary, preliminary, or other appropriate injunctive or equitable relief in a court of competent jurisdiction where necessary to prevent or address actual or threatened infringement, misappropriation, unauthorized access, disclosure, or misuse of intellectual property, confidential information, or proprietary materials.

23.5 Arbitration Procedure and Location

The arbitrator will be neutral and selected in accordance with applicable JAMS procedures.

The arbitration may occur remotely, virtually, by telephone, on written submissions, or in person as permitted by applicable JAMS rules and agreed or determined through the arbitration process.

The location or format of arbitration will not be imposed in a manner that unlawfully prevents a consumer from reasonably accessing arbitration.

Each party may be represented by counsel at its own expense.

The parties will be permitted reasonable exchange of non-privileged information relevant to the dispute consistent with applicable JAMS rules.

23.6 Arbitration Fees and Remedies

Arbitration fees and costs will be allocated in accordance with applicable JAMS rules and any applicable JAMS Consumer Minimum Standards.

The arbitrator may award any individual remedy or relief that would otherwise be available under applicable law and that the arbitrator is legally authorized to award.

The arbitrator will issue an award in accordance with applicable JAMS procedures.

23.7 Individual Proceedings and Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND PIVOT TRADERS AGREE THAT CLAIMS WILL BE BROUGHT ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Neither an arbitrator nor JAMS may consolidate the claims of multiple persons or conduct a class or representative proceeding except where applicable law requires otherwise.

If a final determination holds that a particular portion of this class-action waiver is unenforceable as to a specific claim or request for relief, that claim or request for relief will proceed in the forum required by applicable law while the enforceable portions of this arbitration agreement remain in effect.

23.8 Jury Trial Waiver

TO THE EXTENT A DISPUTE IS SUBJECT TO BINDING ARBITRATION, YOU AND PIVOT TRADERS UNDERSTAND AND AGREE THAT YOU ARE WAIVING THE RIGHT TO HAVE THAT DISPUTE DECIDED BY A JUDGE OR JURY IN COURT.

23.9 Arbitration Opt-Out

You may opt out of this arbitration agreement by sending written notice to support@pivottraders.net within thirty (30) days after the date you first affirmatively accept these Terms containing this arbitration provision.

The opt-out notice must identify you and clearly state that you are opting out of the arbitration provision contained in the Pivot Traders Terms & Conditions.

Opting out of arbitration will not affect the remainder of these Terms or your eligibility to use the Services.

23.10 Survival

This Section survives cancellation, expiration, suspension, or termination of your account, subscription, or use of the Services to the extent permitted by applicable law.

Refund Policy

1. ALL SALES FINAL — NO REFUNDS

Pivot Traders LLC (“Pivot Traders,” “we,” “us,” or “our”) provides digital, educational, subscription-based, software-based, and electronically delivered products and services.

These may include, without limitation:

  • memberships and community access;

  • courses and educational programs;

  • live and recorded educational sessions;

  • Indicators, scripts, analytical tools, and software access;

  • downloadable materials;

  • proprietary educational content;

  • specialty programs;

  • coaching or other prepaid educational services; and

  • other digital products or Services offered by Pivot Traders.

Because users may receive immediate or continuing access to proprietary digital content, intellectual property, educational materials, Indicators, software, community resources, and other Services upon purchase or enrollment:

ALL SALES ARE FINAL AND NON-REFUNDABLE, EXCEPT WHERE A REFUND IS EXPRESSLY REQUIRED BY APPLICABLE LAW OR EXPRESSLY AUTHORIZED BY PIVOT TRADERS UNDER SECTION 5 OF THIS POLICY.

By completing a purchase, you acknowledge that you have had an opportunity to review the applicable product or Service description, pricing, subscription terms, and this Refund Policy before purchasing.

A refund will not be provided merely because you:

  • change your mind;

  • decide that a Service is no longer needed;

  • fail to use or access a Service;

  • fail to attend a live session;

  • fail to watch available recordings;

  • fail to download available materials;

  • fail to install, activate, configure, or use an Indicator;

  • do not achieve a desired trading, investment, educational, or financial result;

  • determine that a Service does not fit your personal preferences, trading style, schedule, or objectives; or

  • discontinue participation before the end of a paid term.

Nothing in this Refund Policy limits any consumer right that cannot lawfully be waived.

2. SUBSCRIPTIONS AND AUTOMATIC RENEWAL

Certain Pivot Traders Services are offered on a recurring subscription basis.

Where a subscription automatically renews, the applicable renewal frequency, price, and other material subscription terms will be disclosed during the purchase or enrollment process.

By enrolling in a recurring subscription, you authorize the applicable payment processor to charge your selected payment method at the disclosed recurring interval until the subscription is canceled or otherwise terminated.

You are responsible for canceling your subscription before the applicable renewal if you do not wish to incur the next recurring charge.

Failure to cancel before an authorized renewal does not, by itself, create a right to a refund.

Except where otherwise required by applicable law:

  • no prorated refunds are provided for partial billing periods;

  • no credits are provided for unused subscription time;

  • cancellation does not retroactively reverse an authorized renewal charge; and

  • cancellation ordinarily permits continued access through the remainder of the period for which payment has already been received.

At the end of the applicable paid term, access to subscription-based Services, including membership content, Indicators, scripts, analytical tools, software, or other licensed materials, may terminate.

Pivot Traders will provide and administer subscription cancellation in accordance with applicable law and the cancellation procedures applicable to the platform or payment system through which the subscription is managed.

3. INDICATORS, SOFTWARE, AND DIGITAL LICENSES

Purchases or subscriptions involving Pivot Traders Indicators, scripts, software, analytical tools, or other licensed digital Services are subject to this Refund Policy.

Fees are not refundable because an Indicator or other digital tool:

  • was not used;

  • was not installed or activated;

  • was used only briefly;

  • did not identify a particular market opportunity;

  • produced an unsuccessful, delayed, false, conflicting, or otherwise undesired analytical output;

  • performed differently than anticipated;

  • behaved differently on another timeframe, instrument, market, data feed, or platform configuration;

  • was affected by third-party platform, data, connectivity, or compatibility issues; or

  • did not result in a desired trading or financial outcome.

Indicators and other digital tools are subject to the limitations described in the Pivot Traders Terms & Conditions, Risk Disclosure, and Legal Disclaimer.

Purchase or subscription provides only the applicable license or access rights described in the Terms & Conditions and does not transfer ownership of Pivot Traders intellectual property.

4. PROGRAMS, COURSES, LIVE EDUCATION, AND PREPAID SERVICES

Unless specific written terms expressly provide otherwise, payments for courses, educational programs, specialty programs, live educational sessions, prepaid educational services, and similar offerings are final and non-refundable.

A user’s failure or inability to attend scheduled programming, complete educational materials, participate in community activities, or use available Services does not create a right to a refund.

Where a particular program has separate purchase terms, enrollment conditions, scheduling requirements, expiration terms, or other specific conditions disclosed before purchase, those terms also apply.

5. EXCEPTIONAL CIRCUMSTANCES

Pivot Traders may, in its sole discretion and without obligation, elect to issue a full or partial refund, credit, extension, or other accommodation in an extraordinary circumstance.

Any discretionary refund, credit, extension, or accommodation:

  • is evaluated individually;

  • does not establish a precedent;

  • does not create an entitlement to similar treatment for another customer or transaction;

  • does not modify this Refund Policy; and

  • does not constitute a waiver of Pivot Traders’ rights under this Policy or the Terms & Conditions.

Nothing in this Section prevents Pivot Traders from issuing a refund where required by applicable law.

6. BILLING ERRORS AND UNAUTHORIZED CHARGES

This no-refund policy does not prevent you from contacting Pivot Traders regarding a genuine billing error, duplicate charge, unauthorized transaction, cancellation-processing issue, or other payment problem.

If you believe a charge was made incorrectly, please contact:

and provide sufficient information for Pivot Traders to investigate the transaction.

Pivot Traders may correct verified billing errors or unauthorized charges as appropriate and as required by applicable law.

7. CHARGEBACKS AND PAYMENT DISPUTES

We encourage users to contact Pivot Traders regarding billing concerns before initiating a chargeback or payment dispute so that we have an opportunity to review and, where appropriate, resolve the issue.

Nothing in this Policy prevents a consumer from exercising a lawful right to dispute an unauthorized or erroneous charge with a card issuer, bank, payment provider, or other appropriate entity.

If a chargeback or payment dispute is initiated, Pivot Traders reserves the right to provide the payment processor, card network, issuing bank, or other appropriate party with records relevant to the transaction, including, where applicable:

  • purchase and subscription records;

  • checkout disclosures;

  • acceptance of applicable terms and policies;

  • payment authorization information;

  • cancellation records;

  • account-access records;

  • Service-access or activation information; and

  • communications relating to the transaction.

A reversed, disputed, unpaid, fraudulent, or otherwise unresolved payment may result in suspension or termination of access to the Services associated with that payment where permitted by law.

Knowingly fraudulent payment activity, identity misuse, or other suspected unlawful conduct may be reported or addressed as permitted by applicable law.

8. TERMINATION FOR VIOLATION OF TERMS

If access is suspended or terminated because of a material violation of the Pivot Traders Terms & Conditions—including unauthorized credential sharing, redistribution of proprietary materials, intellectual-property infringement, circumvention of access controls, fraud, or other prohibited conduct—the user is not entitled to a refund for amounts already paid except where required by applicable law.

Termination does not eliminate payment obligations or liabilities that arose before termination.

9. PROMOTIONS AND SPECIAL OFFERS

From time to time, Pivot Traders may offer a promotion, program, product, or Service subject to specific written purchase terms.

If Pivot Traders expressly provides a refund right, guarantee, trial period, or different cancellation policy for a particular offer, the specific terms disclosed for that offer will govern that transaction to the extent they conflict with this general Refund Policy.

The existence of different terms for one promotion or Service does not create a refund right for another product, subscription, program, or transaction.

10. ACKNOWLEDGMENT

By completing a purchase or enrolling in a paid Service, you acknowledge that:

  • you have had an opportunity to review the applicable pricing and purchase terms;

  • you understand that Pivot Traders primarily provides digital and electronically delivered Services;

  • you understand that, except where required by applicable law or expressly authorized under this Policy, all sales are final and non-refundable;

  • you understand that recurring subscriptions continue until canceled or otherwise terminated in accordance with their applicable terms;

  • you understand that cancellation generally prevents future renewal charges rather than refunding charges already properly incurred; and

  • you understand that trading, educational, or financial dissatisfaction does not create a right to a refund.

Opting out of promotional communications does not prevent Pivot Traders from sending non-promotional communications reasonably necessary to administer an account, subscription, purchase, transaction, security matter, or legal obligation.

11. DATA RETENTION

Pivot Traders retains personal information for as long as reasonably necessary for the purposes for which it was collected and for legitimate business, security, legal, accounting, tax, and dispute-resolution purposes.

Depending upon where you reside and the laws applicable to Pivot Traders, you may have rights concerning your personal information.

Pivot Traders Indicators and analytical tools are not intended, by default, to require access to your brokerage passwords, brokerage account credentials, or discretionary control over your trading account.

If Pivot Traders introduces a Service in the future that connects directly to brokerage accounts, receives detailed trading-account information, processes brokerage credentials or tokens, imports transaction histories, or otherwise materially changes the categories of financial or trading information processed by Pivot Traders, this Privacy Policy may be updated before or in connection with that functionality.

You should never provide brokerage passwords, private keys, or other sensitive trading credentials through ordinary Pivot Traders community posts, comments, emails, or support communications.

20. DO NOT TRACK AND PRIVACY PREFERENCE SIGNALS

Some browsers offer “Do Not Track” settings.

Because there is not a single universally applied standard governing all Do Not Track signals, Pivot Traders may not respond to traditional Do Not Track browser settings in a uniform manner.

Separate privacy laws may require businesses to recognize certain legally valid opt-out preference signals, such as signals relating to the sale or sharing of personal information.
